Service Agreement

SERVICE AGREEMENT

THIS SERVICE AGREEMENT (the "Agreement"), is entered into the date the Agreement is completed by and between Nomad Cre8tive Inc. ("The Contractor") and the signee (the "Client") (collectively, the "Parties").


BACKGROUND

A. The Client is of the opinion that the Contractor has the necessary qualifications, experience and abilities to provide services to the Client.

B. The Contractor is agreeable to providing such services to the Client on the terms and conditions set out in this Agreement.


SERVICES PROVIDED

1. The Client hereby agrees to engage the Contractor to provide the Client with the following services (the "Services"):

• A creative direction design, visually representing mission, vision, and values.

• A distinctive logo suite design.

• A brand book, that includes detailed guidelines for colors, fonts, and logos.

• One macro revision and one micro revision included for each deliverable.


BONUSES

2. The Client hereby agrees to engage the Contractor to provide the Client with the following bonuses (the "Bonuses"):

• Unlimited access to your personalized creative team for the duration of the project ($4,500 value)

• Two custom Canva social media templates. *Only available to clients who purchased the offer within 24hrs of their 1:1 Brand Strategy Call. ($500 value)

• Exclusive Online Workshop where you’ll learn how to build your own social media strategy in under 1 hour ($500 value).

• A Playbook on "Cracking The Code On Healthy Digital Brands", Divulging The 4 Most Common Website And Social Media Mistakes That Are Driving Your Customers Away & How To Fix Them ($100 Value).

• Access to Premium Podcast Episodes interviewing 7-figure CEOs about brand building strategies.

• Access to a Private Facebook Community of ambitious leaders and entrepreneurs for ongoing support and inspiration.


TERM OF AGREEMENT

3. The term of this Agreement (the "Term") will begin on the date of this Agreement and will remain in full force and effect until the completion of the Services, within 30 days of completing the Strategic Clarity Call, subject to earlier termination as provided in this Agreement. The Term may be extended with the written consent of the Parties.

4. It is clearly understood that the Start Date and End Date for services and bonuses provided under this Agreement may be subject to change. The Contractor reserves the right to issue a change of Scope order with a revised total fee in the event delays are attributed to the Client's actions.

5. The Contractor will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages arising out of this Agreement. The Contractor's maximum liability under this Agreement shall not exceed the total fees received by it hereunder. This Agreement is entered into and the governing jurisdiction shall be Ontario, Canada and any and all disputes shall be within the jurisdiction of the courts of Ontario, Canada.


PERFORMANCE

6. The Parties agree to do everything necessary to ensure that the terms of this Agreement take effect.

7. The Client will approve all content provided by the Contractor on time, as listed in the workback schedule provided. The workback schedule can be amended at the sole discretion of the Contractor and any delay will be attributed to the Client.

8. Any delay by the Client in providing approvals within the time frame indicated in the workback schedule may cause the timelines as set out in the Agreement for the Start Date and End Date of services provided by the Contractor to be unachievable or delayed prior to or beyond the Start Date and End Date.

9. Any delay with respect to approvals and reviews by the Client, that affect the timelines int he workback schedule, that are the result of the actions or omissions of the Client shall not be attributed to the Contractor and any harm or prejudice to the Client as a result of the Client's delays shall be fully accountable to the Client and not the Contractor.


CURRENCY

10. Except as otherwise provided in this Agreement, all monetary amounts referred to in this Agreement are in USD (United States Dollars).


COMPENSATION

11. The Contractor will charge the Client a flat fee of $9,600.00 for the Services (the "Compensation") if paid in full.

12. If the Client prefers to pay in installments, the Client has the option to select a payment plan upon checkout. The payment plans span over a 30 day period. Optional payment plans are a follows:

• Two (2) payments of $4,800

• Four (4) payments of $2,400

• Invoices submitted by the Contractor to the Client are due immediately upon receipt.

13. Any work completed outside of the Services and Bonuses outlined in this Agreement will be billed on an hourly basis at the rate of $150/hr. This includes any subsequent mandates within the defined time frame.

14. Unexpected expenses related to the project, for example, the purchase of stock photos, are not included.

15. Failure of payment at any time will result in a hold on the project process, giving the Contractor the right to withhold artwork from the Client.

16. If the Contractor receives payment from the Client more than five (5) days after the invoice due date, the Contractor may impose a late fee of 5% per invoice.

17. Credit Card Payments (excluding AMEX), SWIFT Payments and International Wires are accepted.


CONFIDENTIALITY

18. Confidential information (the "Confidential Information") refers to any data or information relating to the business of the Client which would reasonably be considered to be proprietary to the Client including, but not limited to, accounting records, business processes, and client records and that is not generally known in the industry of the Client and where the release of that Confidential Information could reasonably be expected to cause harm to the Client.

19. The Contractor agrees that they will not disclose, divulge, reveal, report or use, for any purpose, any Confidential Information which the Contractor has obtained, except as authorized by the Client or as required by law. The obligations of confidentiality will apply during the Term and will survive indefinitely upon termination of this Agreement.

20. The Contractor shall not modify any contents, logos, trademarks, which are owned and controlled by the Client without prior approval of the Client. The Client authorizes the Contractor to utilize the name or trademarks of the Client and make any disclosures concerning this Agreement, provided that such use or disclosure shall be required as part of the Contractor providing services to the Client related to this Service Agreement.

21. Further the Client authorizes the Contractor to utilize the name, trademarks of the Client's and deliverables related to this Agreement on the Contractor's website, for marketing purposes and for any case studies that the Contractor creates related to this Agreement.


OWNERSHIP OF INTELLECTUAL PROPERTY

22. All intellectual property and related material, including any trade secrets, moral rights, goodwill, relevant registrations or applications for registration, and rights in any patent, copyright, trademark, trade dress, industrial design and trade name (the "Intellectual Property") that is developed or produced under this Agreement, will be the sole property of the Client. The use of the Intellectual Property by the Client will not be restricted in any manner.

23. The Contractor may not use the Intellectual Property for any purpose other than that contracted for in this Agreement except with the written consent of the Client. The Contractor will be responsible for any and all damages resulting from the unauthorized use of the Intellectual Property.


CAPACITY/INDEPENDENT CONTRACTOR

24. In providing the Services under this Agreement it is expressly agreed that the Contractor is acting as an independent contractor and not as an employee. The Contractor and the Client acknowledge that this Agreement does not create a partnership or joint venture between them, and is exclusively a contract for service.


RIGHT OF SUBSTITUTION

25. Except as otherwise provided in this Agreement, the Contractor may, at the Contractor's absolute discretion, engage a third party sub-contractor to perform some or all of the obligations of the Contractor under this Agreement and the Client will not hire or engage any third parties to assist with the provision of the Services.

26. In the event that the Contractor hires a sub-contractor:

• the Contractor will pay the sub-contractor for its services and the Compensation will remain payable by the Client to the Contractor.

• for the purposes of the indemnification clause of this Agreement, the sub-contractor is an agent of the Contractor.


INDEMNIFICATION

27. The Client agrees to indemnify and hold harmless the Contractor of and from any and all claims, demands, losses, causes of action, damage, lawsuits, judgments, including attorneys’ fees and costs, to the extent caused by or arising out of or relating to the work of the Contractor.


SEVERABILITY

28. The Parties recognize the uncertainty of the law with respect to certain provisions of this Service Agreement and expressly stipulate that this Service Agreement will be construed in a manner that renders its provisions valid and enforceable to the maximum extent possible under applicable law.

29. To the extent that any provisions of this Service Agreement are determined by a court of competent jurisdiction to be invalid or unenforceable, such provisions will be deleted from this Service Agreement or modified so as to make them enforceable and the validity and enforceability of the remainder of such provisions and of this Service Agreement will be unaffected.
